Where The Business Was
- Road building and excavation business
- Owner wanted to transition the business to senior management
Problem
- Two brothers one of whom had passed away founded the company. The surviving brother wished to transition ownership to three long serving employees
- He wanted to be retained as a salaried job superintendent, which he enjoyed, without any administrative responsibilities
- He was willing to carry a large part of the financing and be paid on the basis of future cash flow with certain minimum requirements
- The existing accountant/advisor felt he was in a conflict of interest and asked that we represent the purchasers in the transaction
Solution
- Work through the complex issues surrounding the price and payment options, and prepare the purchasers to take over the responsibilities of corporate ownership
Implementation
- Conduct a series of price and payment negotiation meetings
- Review the purchase agreement
- Assist with planning to obtain down payment funds
Results
- There was a desire to succeed on all sides and after several months of negotiations an agreement was concluded
